1. Acceptance of Terms

By registering for, accessing, or using any services provided by IONIC Rentals LLC (“IONIC Rentals,” “Company,” “we,” “us,” or “our”), including our websites, mobile applications, video management platform, surveillance camera systems, IoT devices, and related software and services (collectively, the “Services”), you (“Customer,” “you,” or “your”) agree to be bound by these Terms of Use (“Terms”) and our Privacy Policy. If you do not agree, do not use the Services.

These Terms apply to all users, including account administrators, authorized users within a customer organization, and visitors to our websites (collectively, “Users”). If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Services

IONIC Rentals provides rental video surveillance camera systems (including Titan Solar Camera units and Milesight cellular camera systems), a cloud-based video management software (VMS) platform, AI-powered video analytics (including human/object detection, motion analysis, and timelapse generation), IoT device monitoring, and related support services. We may modify, update, or discontinue any aspect of the Services at any time without notice.

3. Accounts and Access

You must be 18 or older to use the Services.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You agree to provide accurate, current, and complete registration information.
You must notify us immediately of any unauthorized use of your account.
We may disable any account at our discretion for any reason, including violation of these Terms.

4. Client Responsibilities for Surveillance Deployment

By deploying IONIC Rentals camera systems, you acknowledge and agree:

Lawful Use: You are solely responsible for ensuring that your use of video and audio surveillance complies with all applicable federal, state, and local laws, including privacy laws, wiretapping statutes, and all-party consent requirements for audio recording.
Signage and Notice: You are responsible for posting all required surveillance notices and signage at monitored locations, including notices required by state or local law.
Camera Placement: You will not position cameras to record areas where individuals have a reasonable expectation of privacy (e.g., restrooms, changing areas, private residences).
Data Controller: As between you and IONIC Rentals, you are the data controller of footage captured by your deployed cameras. IONIC Rentals acts as a service provider/processor processing data on your behalf and pursuant to your instructions.
Audio Recording: If you enable audio recording features, you assume full responsibility for compliance with applicable wiretapping and electronic surveillance laws, including two-party/all-party consent states. IONIC Rentals disclaims all liability for client-enabled audio recording that violates applicable law.
Law Enforcement: IONIC Rentals may provide footage to law enforcement in response to lawful requests (subpoenas, court orders, warrants) without further client consent, as permitted by law.

5. AI/ML and Video Analytics

Our Services include AI-powered features for human presence detection, object detection, motion analysis, and scene classification. You acknowledge and agree that:

IONIC Rentals may use de-identified or anonymized video data from deployed camera systems to train and improve its proprietary AI/ML models.
AI/ML features detect general categories of objects (persons, vehicles, animals). They do not perform facial recognition and do not identify specific individuals.
You may opt out of footage-based AI training by notifying your account representative or emailing privacy@ionicrentals.com. Opt-outs are honored prospectively.
IONIC Rentals does not sell or license AI models trained on client footage to third parties.

6. Fees and Payment

Fees for equipment rental, SaaS subscriptions, and related services are set forth in your service agreement, order form, or as published on our website.
Subscriptions renew automatically at the then-current rate unless cancelled in writing before the renewal date.
All fees are non-refundable except as expressly stated in your service agreement.
Late payments may accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is less.
We reserve the right to suspend Services for non-payment after 15 days’ written notice.

7. Intellectual Property

All content, software, technology, trademarks, logos, and materials comprising the Services (excluding client footage) are owned by IONIC Rentals or its licensors and protected by U.S. and international intellectual property laws. You may not copy, modify, distribute, reverse engineer, decompile, or create derivative works of any part of the Services without our prior written consent.

As between the parties, client-captured video footage remains the property of the client. IONIC Rentals retains a limited, non-exclusive license to process, store, and use such footage as necessary to provide the Services and, unless you opt out, to train and improve AI/ML models as described in Section 5.

8. Prohibited Uses

You agree not to:

Use the Services for any unlawful purpose or in violation of any law or regulation;
Attempt to gain unauthorized access to any part of the Services, other accounts, or systems;
Use automated tools (bots, scrapers, crawlers) to access the Services without our written consent;
Reverse engineer, decompile, or disassemble the Services or attempt to derive source code;
Resell, sublicense, or redistribute the Services without our prior written consent;
Interfere with or disrupt the Services or the networks or servers connected to the Services;
Use the Services to distribute malware, spam, or any harmful content;
Use surveillance footage for harassment, stalking, discrimination, or any illegal purpose; or
Circumvent any security features or access controls of the Services.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. IONIC RENTALS DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, THAT FOOTAGE WILL BE CAPTURED WITHOUT INTERRUPTION, OR THAT DEFECTS WILL BE CORRECTED. YOU ACKNOWLEDGE THAT VIDEO SURVEILLANCE SYSTEMS DEPEND ON POWER, CONNECTIVITY, AND ENVIRONMENTAL CONDITIONS BEYOND OUR CONTROL.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IONIC RENTALS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO IONIC RENTALS DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless IONIC Rentals and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms or any law; (c) your deployment of surveillance equipment in violation of applicable law; (d) your enabling of audio recording in violation of wiretapping or consent laws; or (e) any third-party claim arising from footage captured by your deployed cameras.

12. Termination

Either party may terminate the Services in accordance with the applicable service agreement. We may suspend or terminate your access immediately if you breach these Terms or if required by law. Upon termination, your right to access the Services ceases. Provisions regarding IP, limitation of liability, indemnification, governing law, and dispute resolution survive termination.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles. Any dispute arising from or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of such courts.

14. Modifications

We may modify these Terms at any time by posting the revised version on our website. Material changes will be communicated via email or in-app notification. Continued use of the Services after changes are posted constitutes acceptance. If you do not agree to revised Terms, you must stop using the Services.

15. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and any applicable service agreement or order form, constitute the entire agreement between you and IONIC Rentals regarding the Services.
Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
Assignment: You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.
Force Majeure: We are not liable for failure to perform due to causes beyond our reasonable control, including natural disasters, power outages, network failures, acts of government, or pandemics.
No Agency: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
Notices: We may provide notices via email to the address on your account or through the Services. You are responsible for keeping your contact information current.
